Terms and Conditions for Lucident

These Terms and Conditions (“Terms”) govern your access to and use of Lucident, including any related websites, applications, integrations, and services (collectively, the “Service”) provided by Lucident (“Lucident,” “we,” “our,” or “us”).
By installing, accessing, or using Lucident, you agree to these Terms. If you do not agree, do not install or use the Service.
1. About the Service
Lucident is a service designed to help teams bring structure to conversations, improve project clarity, and surface updates, decisions, follow-ups, and related workflow insights.
2. Eligibility
You may use the Service only if:
- you have the legal capacity to enter into these Terms,
- you are authorized to act on behalf of your organization, if using the Service for a business or team,
- your use of the Service complies with applicable law and any platform rules.
If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
3. Account and Workspace Access
To use Lucident, you may need to connect a external workspace (i.e. Slack, Gmail, ClickUp, etc) and authorize Lucident to access data and metadata needed for the Service to function.
You are responsible for:
- ensuring that your installation and use of the Service is authorized by your organization,
- maintaining the confidentiality of your account and admin credentials,
- all activity that occurs under your connected workspace or account,
- configuring the Service in a way that matches your internal policies and permissions.
4. Permitted Use
You may use the Service only for lawful internal business purposes and only in accordance with these Terms.
You agree not to:
- use the Service in violation of any law or regulation,
- interfere with or disrupt the Service,
- attempt to gain unauthorized access to the Service or related systems,
- use the Service to store, transmit, or process unlawful, harmful, deceptive, or infringing content,
- use the Service in a way that violates third-party integration rules, workplace policies, or third-party rights.
5. Platform and Third-Party Services
Lucident depends and may also interact with other third-party tools or services.
We are not responsible for:
- third-party's tool availability, security, or functionality,
- changes to APIs, permissions, policies, or platform behavior,
- third-party services you connect to Lucident,
- downtime or limitations caused by external providers.
Your use of any third-party services remains subject to their own terms and privacy practices.
6. Data and Privacy
Our handling of personal data, workspace data, and information is described in our Privacy Policy:

By using the Service, you acknowledge that Lucident may process data and other related information as described in that Privacy Policy.
Third-party developer policy may require apps to clearly explain how data is collected, used, processed, stored, and what control users have over their data. They may also prohibits using data to train an LLM, renting/selling/sharing data with third parties, and ignoring deletion requests.
7. Customer Responsibilities for Content and Permissions
You are responsible for:
- obtaining any necessary approvals, consents, or authorizations from your organization and users,
- ensuring you have the right to allow Lucident to process content made available through your workspace,
- using appropriate scopes and workspace settings consistent with your organization’s internal policies,
- reviewing the permissions requested during installation.
8. Feedback
If you provide comments, suggestions, ideas, or feedback about the Service, you grant Lucident a worldwide, non-exclusive, royalty-free, transferable license to use, modify, and incorporate that feedback into the Service without compensation to you.
9. Intellectual Property
Lucident and its licensors retain all rights, title, and interest in and to the Service, including all software, features, branding, designs, documentation, and related intellectual property rights.
These Terms do not grant you ownership of the Service or any Lucident intellectual property. You receive only a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
10. Service Availability and Changes
We may update, improve, suspend, or discontinue all or part of the Service at any time.
We do not guarantee that the Service will always be available, uninterrupted, error-free, or compatible with every workspace or configuration.
11. Beta Features
From time to time, we may offer beta, preview, or early-access features.
These features may be incomplete, changed, or removed at any time and are provided “as is” without warranties of any kind.
12. Term and Termination
These Terms begin when you first install, access, or use the Service and continue until terminated.
You may stop using the Service at any time by uninstalling the app and discontinuing use.
We may suspend or terminate your access immediately if:
- you violate these Terms,
- your use poses a security, legal, or operational risk,
- required third-party platform access is revoked,
- we discontinue the Service.
Upon termination, your right to use the Service ends immediately.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUCIDENT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- the Service will meet all of your requirements,
- the Service will be uninterrupted, timely, secure, or error-free,
- outputs, summaries, insights, or AI-generated content will always be accurate, complete, or suitable for your specific use case.
14. Indemnification
You agree to defend, indemnify, and hold harmless Lucident and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses, including reasonable legal fees, arising out of or related to:
- your use of the Service,
- your violation of these Terms,
- your violation of applicable law,
- your content, data, or permissions issues,
- your infringement of any third-party rights.
15. Confidentiality
If you and Lucident exchange non-public business, technical, or operational information, each party agrees to protect the other party’s confidential information using reasonable care and not to use it except as needed to perform under these Terms or as required by law.
If you already have a separate MSA or NDA, this section can be shortened or removed to avoid conflicts.
16. Governing Law
These Terms are governed by the laws of [Delaware/United States of America], without regard to its conflict of laws principles.
Any legal action arising out of or relating to these Terms will be brought exclusively in the courts located in Middletown, Delware, and each party consents to that jurisdiction and venue.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and may provide additional notice where appropriate.
Your continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.
